1. Introduction
These Terms and Conditions ("Terms") govern your use of the Lead Forge Marketing website and our provision of digital marketing services. Lead Forge Marketing is a trading name of 360 Media Works Ltd (company number 12691769), registered at Varsity House, 2 Falcon Court, Preston Farm Industrial Estate, Stockton-on-Tees, TS18 3TS, United Kingdom ("we", "our", "us").
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Services
Lead Forge Marketing provides lead generation and digital marketing services, including but not limited to:
- Search Engine Optimisation (SEO)
- Google Ads and Meta Ads management
- Website design and development
- Website hosting and care plans
- Email marketing
- SMS marketing
- Cold email outreach
- Google Business Profile management
The specific scope, deliverables, and pricing for your engagement will be defined in a separate service agreement or proposal.
3. Engagement and Terms
The specific terms of each engagement, including duration, notice periods, and any minimum commitment, are set out in the individual proposal or service agreement provided to you before work commences. In the absence of a specific written agreement:
- Services continue on a rolling monthly basis
- Either party may terminate by providing 30 days' written notice
- Written notice should be sent to simon@leadforge.co.uk or to our registered address
4. Payment Terms
- Fees are invoiced monthly in advance unless otherwise agreed
- Payment is due within 14 days of invoice date
- We accept payment by bank transfer, credit/debit card (via Stripe), or PayPal
- Late payments may incur interest at 8% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998
- We reserve the right to suspend services if invoices remain unpaid for more than 30 days
- All prices are quoted exclusive of VAT unless stated otherwise. VAT will be added at the prevailing rate where applicable
5. Advertising Spend
Where we manage paid advertising campaigns (Google Ads, Meta Ads, or other platforms):
- Advertising spend is paid directly by you to the advertising platform and is separate from our management fees
- We will recommend budgets but you retain final approval over spend levels
- We are not liable for changes to advertising platform policies, costs, or performance algorithms
6. No Guarantee of Results
Digital marketing outcomes depend on many factors beyond our control, including market conditions, competition, search engine algorithms, advertising platform policies, and your business operations. While we apply industry best practices and work diligently to achieve the best possible results:
- We do not guarantee specific rankings, traffic levels, lead volumes, or revenue outcomes
- Past performance is not indicative of future results
- Any projections, forecasts, or estimates are provided in good faith but are not guarantees
7. Client Responsibilities
To enable us to deliver our services effectively, you agree to:
- Provide timely access to accounts, platforms, and materials we reasonably require
- Review and approve content, campaigns, and deliverables within a reasonable timeframe
- Provide accurate and up-to-date business information
- Comply with all applicable laws and regulations relating to your business and industry
- Ensure that any content you provide to us for use in marketing does not infringe any third-party rights
8. SMS Notifications
By providing your mobile phone number and opting in during client onboarding, you consent to receive transactional SMS notifications from Lead Forge Marketing relating to contact form submissions on your website.
Message content: Messages will contain details of website enquiries including the submitter's name, email address, and enquiry message.
Message frequency: Message frequency varies based on the volume of contact form submissions your website receives.
Message and data rates: Message and data rates may apply.
Opt-out: You may opt out at any time by replying STOP to any SMS message. Upon opting out, you will receive a single confirmation message and no further texts will be sent.

Carrier disclaimer: Lead Forge Marketing is not liable for delayed or undelivered messages due to carrier network issues or device incompatibility.
No warranty: SMS notifications are provided as a convenience. We do not guarantee delivery timeliness and are not liable for missed notifications. Clients should also monitor their email and dashboard for enquiries.
9. Intellectual Property
- All content on this website, including text, graphics, logos, and images, is the property of Lead Forge Marketing or its licensors and is protected by applicable intellectual property laws
- Work product created specifically for your campaigns (ad copy, landing pages, creative assets) is owned by you upon full payment of applicable fees
- Our proprietary processes, strategies, templates, and methodologies remain our intellectual property
- You grant us a limited licence to use your brand assets (logo, images, copy) for the purpose of delivering our services
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information received from the other party during the engagement. This obligation survives termination of the service agreement for a period of two years. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
11. Data Processing
Where we process personal data on your behalf as part of delivering our services (for example, managing leads from your website), we act as a data processor under UK GDPR. We will:
- Process data only in accordance with your instructions
- Implement appropriate technical and organisational security measures
- Not engage sub-processors without your prior consent
- Assist you in responding to data subject requests
- Delete or return all personal data upon termination, unless retention is required by law

12. Limitation of Liability
- Our total liability to you for any claims arising from our services shall not exceed the total fees paid by you in the six months preceding the claim
- We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profit, data, business, or opportunity
- Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law
13. Indemnification
You agree to indemnify and hold Lead Forge Marketing harmless against any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Content you provide to us that infringes third-party intellectual property rights
- Your breach of these Terms
- Your violation of any applicable law or regulation
14. Force Majeure
Neither party shall be liable for any failure or delay in performing obligations where such failure or delay results from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, internet outages, third-party platform outages, changes to search engine or advertising platform algorithms, or government actions.
15. Termination
- Either party may terminate for material breach if the breach is not remedied within 14 days of written notice
- We may terminate immediately if your account is more than 60 days overdue
- Upon termination, all outstanding fees become immediately due
- We will provide reasonable assistance in transitioning your accounts and assets to you or your new provider
16. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.
17. Changes to These Terms
We may update these Terms from time to time. We will notify existing clients of material changes by email. Continued use of our services after notification constitutes acceptance of the updated Terms.
